LIMITED WARRANTY

LED Lighting Systems | Parts, Labor and Manufacturer Coverage

This Limited Warranty applies to LED lighting systems supplied and installed by Brite Star LED + EV ("Brite Star"). It describes what Brite Star covers, for how long, what is excluded, and how to request service. A project specific Limited Warranty Certificate, carrying the site name, the Installation Completion Date and a Warranty Number, is issued to the client in the closeout package at the end of every installation. That certificate incorporates the terms set out here.

1 WARRANTY OVERVIEW

Brite Star stands behind the quality of every LED lighting installation we complete. This Limited Warranty sets out the coverage provided for LED lighting equipment and installation workmanship, including the manufacturer warranties that extend beyond Brite Star's own labor commitment. COVERAGE TERM ADMINISTERED BY Installation labor and workmanship 1 Year Brite Star Brite Star supplied LED fixtures 5 Years Manufacturer, coordinated by Brite Star Drivers, controls, sensors and related components Varies Manufacturer, see Section 3 Brite Star's warranty commitment reflects our dedication to long term client relationships and to the ongoing performance of every project we complete. Who the warranty holder is. Throughout this document, the warranty holder is the party that contracted with Brite Star for the covered installation, as named on the certificate issued for that project. Coverage follows the contracting party rather than the building, so a landlord, property owner or airport authority that did not contract with Brite Star is not a warranty holder unless coverage is transferred in writing under Section 4.2.

2 BRITE STAR PARTS AND LABOR WARRANTY

2.1 Coverage Period Brite Star warrants all installation labor performed by Brite Star technicians or authorized subcontractors, and all Brite Star supplied equipment, against defects in materials and workmanship for a period of one (1) year from the Installation Completion Date stated on the certificate issued for that project (the "Warranty Period"). The Installation Completion Date is the date Brite Star completes the final walkthrough and punch list with the client representative, and closes the project in writing. Brite Star supplied LED fixtures carry additional manufacturer backed coverage of five (5) years, described in Section 3. 2.2 What Is Covered During the Warranty Period, Brite Star will, at no additional charge to the warranty holder: Repair or replace any LED lighting fixture, driver, control device or component that fails due to a defect in materials or workmanship Provide all labor necessary to diagnose, remove and reinstall any covered component Cover reasonable travel, lift equipment and on site time associated with warranty service calls for confirmed defects Cover the labor to remove and reinstall equipment replaced under a manufacturer warranty claim, which the manufacturer warranties themselves exclude Coordinate with manufacturers on covered equipment defects, and administer claims under the applicable manufacturer warranties WHAT THE MANUFACTURERS DO NOT COVER, WE DO Manufacturer warranties cover the replacement part only. The major lighting manufacturers expressly exclude the cost of removing a failed fixture and installing its replacement, which on a hangar high bay or a ramp pole is most of the cost of the repair. During the Brite Star Warranty Period, Brite Star covers that labor, the lift and the travel, at no charge to the warranty holder. 2.3 How to Request Warranty Service To request warranty service, the warranty holder should: Contact Brite Star at [email protected] or 215.467.0259 to report the issue Provide the Warranty Number, the project site and a description of the issue Allow Brite Star two (2) business days to respond, assess and schedule service Brite Star will repair or replace the defective item and confirm resolution in writing TO REQUEST WARRANTY SERVICE Email [email protected] Call 215.467.0259 Please reference your Warranty Number and project site name. 2.4 Conditions of Coverage This warranty takes effect on the Installation Completion Date and remains valid provided that all amounts due to Brite Star for the covered installation have been paid in full under the applicable agreement or statement of work. Coverage applies only to equipment that remains installed in its original location and configuration. 2.5 Exclusions This warranty does not cover: Damage caused by misuse, abuse, accident, vandalism or unauthorized modification of any lighting equipment Damage resulting from improper operation, failure to follow the manufacturer's operating instructions, or failure to perform routine maintenance Damage caused by acts of God, including lightning, flooding, earthquake, fire or other external causes beyond Brite Star's control Abnormal Power Quality and Supply Conditions. This warranty does not cover failures or damage resulting from electrical conditions outside the applicable equipment specifications, including overvoltage, undervoltage, voltage surges or transients, voltage imbalance, loss or interruption of a phase, abnormal frequency, electrical noise, harmonic distortion, repeated power interruptions, or other disturbances originating in the utility supply, building electrical system, or equipment not supplied or installed by Brite Star. This exclusion applies to damage resulting from such conditions whether or not a circuit breaker or other protective device trips. Electrical Distribution and Circuit Conditions. This warranty does not cover failures or damage resulting from defects, deterioration, improper configuration, inadequate capacity, or improper maintenance of electrical panels, circuit breakers, bus bars, terminals, conductors, neutral connections, grounding systems, branch circuits, junction boxes, or other electrical distribution components not supplied or installed by Brite Star. This exclusion includes short circuits, ground faults, arc faults, loose or open connections, improper wiring, overloaded circuits, and defective or improperly rated protective devices, to the extent such conditions cause or contribute to the failure or damage. Normal wear and tear, including gradual lumen depreciation within published manufacturer specifications Cosmetic damage including scratches, dents or discoloration that does not affect function or performance Lamps, bulbs or consumable components not installed by Brite Star Equipment relocated, repositioned, rewired or serviced by anyone other than Brite Star or a Brite Star authorized subcontractor Third-Party Electrical Work and Protective Devices. This warranty does not cover failures or damage caused or contributed to by the inspection, repair, replacement, adjustment, modification, or maintenance of electrical panels, breakers, wiring, grounding systems, controls, surge protection devices, or associated infrastructure by the customer, the utility, or any contractor other than Brite Star or its authorized subcontractors. It also does not cover failures resulting from the absence, failure, improper selection, or inadequate performance of electrical protective devices not supplied or installed by Brite Star, except to the extent otherwise expressly covered by this warranty. Equipment operated outside the published ambient temperature, voltage, current, switching cycle or dimming ranges for the product Damage from hazardous or reactive chemicals, harsh cleaning agents, salt, deicing compounds, jet exhaust or other airborne contaminants Yellowing of polycarbonate or acrylic lenses, and staining, chalking or fading of finishes, which are normal aging and not manufacturing defects The structural integrity of existing poles, foundations, anchorages, ceilings or structures on which equipment is mounted, and any consequence arising from their use Components supplied by others, including lamps, ballasts, battery packs, photocells, occupancy sensors, fuses and surge protection devices, which carry only their own manufacturer warranty Failures arising from installation or operation not in accordance with the National Electrical Code (NEC), Underwriters Laboratories (UL), the American National Standards Institute (ANSI) or, in Canada, the Canadian Standards Association (CSA) Service calls where no defect is found in Brite Star supplied equipment or workmanship, or where the cause is an excluded condition listed in this Section 2.5. These calls are billable at the Section 4.7 rates, and Brite Star will confirm the charge in writing before any billable work begins 2.6 Remedy and Claim Procedure Repair or replacement of a covered item is the sole and exclusive remedy under this warranty. Brite Star will, at its option, repair the item, replace it with the same or a functionally equivalent product, or issue the warranty holder a credit toward replacement. Brite Star may use new, reconditioned or remanufactured parts, and repair or replacement does not extend or restart the Warranty Period. Where a product line has been discontinued, Brite Star will provide a comparable substitute that meets or exceeds the original specification. Warranty claims should be submitted in writing within thirty (30) days of discovering the defect. Brite Star may inspect the failed equipment on site, or ask that a component be returned for inspection, before confirming coverage. Components replaced under this warranty become the property of Brite Star.

3 LED FIXTURE AND MANUFACTURER COVERAGE

3.1 Five Year Fixture Coverage LED lighting fixtures supplied by Brite Star carry a five (5) year warranty against defects in materials and manufacturing, backed by the fixture manufacturer and administered by Brite Star. This coverage is separate from, and in addition to, the one year Brite Star Parts and Labor Warranty described in Section 2. Drivers, controls, sensors and related components are covered under the individual warranty terms published by each manufacturer. Brite Star passes through all applicable manufacturer warranties to the warranty holder and administers the claims. Where a product is manufactured or assembled by Brite Star, the Brite Star warranty applies directly rather than by pass through. Representative coverage for equipment supplied by Brite Star is shown below. PRODUCT CATEGORY TYPICAL COVERAGE NOTES LED Fixtures (Indoor and Outdoor) 5 Years Covers defects in materials and manufacturing; lumen maintenance per LM-80 data LED Drivers and Power Supplies 5 Years Covers electrical failure under normal operating conditions PRODUCT CATEGORY TYPICAL COVERAGE NOTES LED Retrofit Kits 5 Years Covers fixture and driver as a system Controls and Sensors 3 to 5 Years Covers hardware and firmware; excludes power surge damage Emergency Backup Units (EBU) 3 Years Covers battery and driver; capacity per manufacturer specification Linear and High Bay Fixtures 5 to 10 Years Per manufacturer specification sheet provided at closeout Note: Manufacturer warranty periods and coverage terms vary by product line and brand. Warranty documentation for all installed fixtures and components is provided with the project closeout package. The coverage periods above are representative. Refer to the individual product data sheets for the exact terms applicable to this installation. 3.2 How LED Failure Is Measured Consistent with prevailing industry practice, an LED array is considered defective in materials or workmanship when fifteen percent (15%) or more of the individual LEDs in a fixture fail to illuminate. Gradual, uniform dimming that remains within the published lumen maintenance curve for the product is normal performance rather than a defect. Standard fixture finishes are warranted against cracking, peeling, excessive fading and corrosion for the fixture coverage period. Manufacturer coverage periods are frequently stated against an assumed number of annual operating hours. Sites that run close to continuously, such as ramps, fuel farms and hangars, may reach the rated hours before the calendar term ends, and the shorter of the two applies. Brite Star will confirm the operating hour basis for the fixtures specified on any given project. 3.3 How Manufacturer Warranty Claims Are Handled Brite Star acts as the primary point of contact for all warranty claims during the one year Parts and Labor Warranty Period, and for fixture claims through the full five year fixture coverage term. Brite Star's role in manufacturer warranty coordination includes: Identifying the applicable manufacturer and warranty policy for the failed component Submitting warranty claims on behalf of the warranty holder where authorized Coordinating replacement part shipments and scheduling reinstallation Providing documentation and proof of purchase as required by the manufacturer Please note that after the one year Parts and Labor Warranty Period ends, replacement parts covered by a manufacturer warranty are supplied at no cost, while the labor to remove and reinstall them is billed at the rates shown in Section 4.7. Some manufacturers settle a claim with a prorated credit rather than a replacement, calculated on the purchase price against the unexpired portion of the warranty term. 3.4 Manufacturer Warranty Limitations Manufacturer warranties are governed solely by the terms and conditions established by each individual manufacturer. Brite Star makes no representations or guarantees regarding the scope, duration or enforceability of any manufacturer warranty. Brite Star's obligation is limited to administering claims in good faith. Brite Star is not responsible for a manufacturer's failure to honor its own warranty terms, or for a manufacturer that ceases operations.

4 GENERAL TERMS AND CONDITIONS

4.1 Relationship to Other Agreements Where Brite Star and the warranty holder have executed a master services agreement, services agreement or similar contract covering the installation, that agreement governs the commercial relationship between the parties. In the event of any conflict between this Limited Warranty and such an agreement, including any conflict regarding governing law, venue, indemnification, insurance or limitation of liability, the terms of that agreement control. This Limited Warranty describes warranty coverage only and does not modify, expand or reduce any right or obligation created by that agreement. 4.2 Transferability This warranty is issued to the original warranty holder named on the certificate for that project and is not transferable without prior written consent from Brite Star. In the event of a change in facility ownership or management, the new owner or operator should contact Brite Star to discuss warranty transfer options before any service request is submitted under it. 4.3 Disclaimer of Other Warranties This Limited Warranty is the only warranty Brite Star provides for the covered installation, and it replaces all other warranties, whether written, oral, express or implied. To the fullest extent permitted by law, Brite Star disclaims all implied warranties, including any implied warranty of merchantability or fitness for a particular purpose. No employee, agent or subcontractor of Brite Star is authorized to make any representation or warranty beyond the terms of this Limited Warranty. 4.4 Limitation of Liability Brite Star's liability under this warranty is expressly limited to the repair or replacement of defective materials and workmanship as described in Section 2. Brite Star shall not be liable for any indirect, incidental, special or consequential damages arising from the failure of any covered component, including but not limited to lost energy savings, lost revenue, business interruption, or damage to other equipment or property. In no event shall Brite Star's total warranty liability exceed the original contract value of the affected installation. 4.5 Governing Law Except where a master services agreement or similar contract between the parties specifies otherwise, this warranty shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, and any dispute arising from this warranty shall be resolved in the appropriate courts of Philadelphia County, Pennsylvania. 4.6 Warranty Holder Obligations To maintain warranty validity, the warranty holder agrees to: Operate all LED lighting systems within the parameters specified in the manufacturer documentation Refrain from unauthorized modification, repair or adjustment of Brite Star installed equipment Promptly notify Brite Star of any observed defect, failure or damage to covered equipment Provide Brite Star reasonable access to the facility to perform warranty service in a timely manner 4.7 Service After the Warranty Period Following expiration of the Brite Star Parts and Labor Warranty Period, Brite Star offers continued service and support on a time and materials basis. Manufacturer warranties, including the five year fixture coverage, remain in effect for their respective terms independent of the Brite Star labor warranty. Service calls during the Warranty Period that are not covered under Section 2.5 are billed at the same rates. On site service: approximately $175 per hour, plus reasonable travel expenses Remote diagnostics and support: $110 per hour Replacement components sourced by Brite Star: cost plus a 10% coordination fee Rates are current as of the effective date shown in the footer and are subject to change. Brite Star will confirm applicable rates in writing before any billable work begins. 4.8 Right to Modify This Warranty Brite Star reserves the right to modify or discontinue this Limited Warranty at any time without notice. Any such change applies only to installations completed after the effective date of the change. The certificate issued at the close of a project, bearing its own effective date, governs that installation for its full coverage term.

5 HOW YOUR CERTIFICATE IS ISSUED

At the close of every Brite Star installation, the client receives a closeout package containing a Limited Warranty Certificate for the project, the complete fixture schedule, as built documentation and the manufacturer warranty documentation for each product line installed. The certificate names the site, records the Installation Completion Date that starts the coverage term, and carries a Warranty Number used to look up the project when service is requested. If you have had work completed by Brite Star and do not have your certificate on hand, contact us and we will reissue it. QUESTIONS ABOUT COVERAGEBrite Star LED + EV | J.
